Resignation as Company Director of a Sdn. Bhd.

I have been appointed as a sdn. bhd company director for more than 10 years ago. However, due to my health problem and also retiring from all sort of works, I have spoken to the company secretary that i would like to resign as the company director with immediate effect. However, the co. secretary inform me that I must find another person to replace me before I could resign as the director because the company itself only have two directors including myself.

The issue is that, the company doesn't belong to me and I'm not a share holder. All the time, I only appointed as a director without any interest or share in the company. The share is hold by the other director with 50% equity and the other 50% is belong to another individual. As the message of my resignation had been forwarded to the other director and the share holder, they seem ignore my resignation and told me that I have to find a replacement.

I were totally in a dark as the company don't belong to me at all but why should the task to look for a new director have to be arranged by me.

Can anyone here advise what should I do...???  Please Help..!!!

I will suggest you to make some patience for resignation. Because you know the company's problem to tackle the work. and also you have the more than 10 years experience in this organization.

Your option if they do not allow you to resign is to write to them and state that if they do not accept your resignation, you will file a petition to wind up the Company on the basis that there is deadlock between directors.
