Non-Profit (Charity) Laws Governing Annual Renewal (AGM)

I would like to know whether there are any laws or regulations or conditions governing the requirements for ROS non-profit organisations when it comes to holding their annual AGM and being approved to continue in existence for a further year.

Also, can the ROS refuse to allow a charity not in compliance to hold its AGM?

All organisations registered with ROS must hold AGM or else face delisting
